These Terms and Conditions (“Terms”) govern your use of the Martinez Digital Marketing LLC website and the engagement of our marketing consulting services. By using our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing our website or engaging our services, you represent that you are at least 18 years of age, have the legal authority to enter into binding agreements on behalf of yourself or your organization, and agree to comply with these Terms. If you do not agree to these Terms, please do not use our website or services.
2. Marketing Consulting Services
Martinez Digital Marketing LLC provides digital marketing consulting services including but not limited to search engine optimization, Google Ads management, content marketing, social media marketing, email marketing, marketing automation, lead generation, brand strategy, and analytics. The specific scope of services, deliverables, and fees for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties.
3. Client Responsibilities
Clients are responsible for: providing accurate and complete information about their business, products, services, and target market; granting timely access to necessary accounts and platforms (website CMS, Google Analytics, Google Ads, social media accounts, etc.); reviewing and approving deliverables within agreed timeframes; providing feedback and direction in a timely manner; and ensuring that all content provided to us for use in marketing materials does not infringe on any third-party intellectual property rights.
4. Payment Terms
Payment terms are specified in each Service Agreement. Monthly retainer services are invoiced at the beginning of each month and are due within 15 days of the invoice date. Project-based services may require a deposit before work commences. Late payments are subject to a 1.5% monthly service charge. We reserve the right to suspend services for accounts more than 30 days past due.
5. Revisions and Approvals
Our service agreements specify the number of revisions included for deliverables such as ad copy, content pieces, and reports. Additional revisions beyond the agreed scope may be subject to additional fees. Clients are responsible for reviewing deliverables and providing approval or revision requests within 5 business days. Failure to respond within this timeframe will be considered approval to proceed.
6. Intellectual Property
Upon full payment, clients receive ownership of all original content and creative materials developed specifically for their account. We retain ownership of our proprietary methodologies, tools, templates, and processes. We do not transfer ownership of third-party software, platforms, or tools used in delivering services. Client grants us a limited license to use their trademarks, logos, and brand materials solely for the purpose of delivering contracted services.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary business information shared during the engagement. We will not disclose client business strategies, financial information, or competitive intelligence to third parties without prior written consent, except as required by law.
8. No Guarantee of Results
Digital marketing results depend on many factors outside our control, including search engine algorithm changes, market conditions, competitive activity, and client website quality. We do not guarantee specific ranking positions, traffic levels, lead volumes, or revenue outcomes. We commit to applying our best professional expertise and adhering to ethical marketing practices in pursuit of your stated business goals.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Martinez Digital Marketing LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to our services or this agreement. Our total liability for any claim shall not exceed the total fees paid by the client in the three months preceding the claim.
10. Termination
Either party may terminate a monthly service agreement with 30 days written notice. Project-based agreements may only be terminated in accordance with the terms specified in the individual project agreement. Upon termination, we will provide a complete handover of all campaign assets, credentials, and documentation within 10 business days.
11. Dispute Resolution
Any disputes arising from these Terms or our service agreements shall first be addressed through good-faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in Ventura County, California, under the rules of the American Arbitration Association. You waive any right to participate in class action proceedings.
12. Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal proceedings shall be brought exclusively in the courts of Ventura County, California.

Refund Policy

This Refund Policy describes the terms under which Martinez Digital Marketing LLC provides refunds for our marketing consulting services. We are committed to delivering high-quality work and resolving any service issues fairly and professionally.
1. Project Deposits
Project-based engagements typically require a deposit of 50% of the total project fee before work commences. Deposits are non-refundable once work has begun, as they compensate for the time and resources allocated to your project. If you cancel a project before any work has commenced, you may request a full deposit refund within 5 business days of payment. After work has commenced, deposits will not be refunded, though any work completed will be delivered to you.
2. Consulting Services
Fees for completed consulting sessions, strategy calls, and advisory services are non-refundable. If you need to reschedule a consulting session, please provide at least 24 hours notice. Sessions cancelled with less than 24 hours notice may be subject to a cancellation fee equal to 50% of the session fee.
3. Monthly Marketing Services
Monthly retainer fees cover the services delivered during that billing period. Because we allocate staff time, tools, and resources at the beginning of each billing period, monthly retainer fees are generally non-refundable once the billing period has begun. If you believe a billing error has occurred, contact us within 15 days of the invoice date and we will investigate promptly.
4. Subscription Services
If you subscribe to any ongoing subscription-based services offered by Martinez Digital Marketing, you may cancel your subscription at any time with 30 days written notice. You will continue to receive service and be billed through the end of your current billing period. No partial-month refunds are provided for subscription cancellations.
5. Cancellation Policy
To cancel a monthly marketing program, provide written notice to mauriliomartinezrios@digtinez.com with at least 30 days advance notice. Your program will continue through the end of the notice period, and you will be billed normally during that time. We will provide a complete project handover, including all campaign assets, account access, strategy documents, and performance reports, within 10 business days of the end of the engagement.
6. Refund Eligibility
Refunds may be considered in the following circumstances: duplicate payment for the same service; payment for services that were not delivered due to our failure to perform; or billing errors that resulted in an overcharge. To request a refund, contact us within 30 days of the billing date with a description of the issue and supporting documentation.
7. Completed Services
Fees for services that have been fully delivered are non-refundable. This includes completed SEO audits, finished content pieces, launched advertising campaigns, and completed strategy documents. If you are dissatisfied with a deliverable, contact us within 10 business days of delivery to discuss revisions or resolution options.
8. Billing Disputes
If you dispute a charge, contact us at mauriliomartinezrios@digtinez.com within 30 days of the billing date. We will investigate the dispute and respond within 5 business days. We ask that you contact us directly before initiating a chargeback, as direct communication allows us to resolve issues more quickly and efficiently.
9. Chargebacks
If you initiate a chargeback with your bank or credit card company without first contacting us to resolve the issue, we reserve the right to dispute the chargeback and provide documentation of services rendered. Unjustified chargebacks may result in termination of service and may be referred to collections.
10. Exceptions
We evaluate refund requests on a case-by-case basis and may make exceptions to this policy at our sole discretion. Exceptions do not waive our right to enforce this policy in future transactions.
